Terms of Service

1. Agreement to Terms

By accessing or using Playmaker AI ("the Service"), operated by Clarkstone Ventures ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

If you are using the Service on behalf of a minor (a student-athlete under 18), you represent that you are the parent or legal guardian and agree to these Terms on their behalf.

2. Description of Service

Playmaker AI is a college athletic recruiting platform that helps student-athletes and their families manage the recruiting process. The Service includes features such as:

• AI-powered recruiting game plan generation.
• College coach research and contact management.
• Email outreach campaigns to college coaches.
• Engagement tracking (email opens, profile views, video watches).
• Athlete profile building and public profile sharing.
• School research and event management.

3. User Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to college athletic recruiting. You agree not to:

• Send spam, unsolicited bulk emails, or harassing messages through the Service.
• Misrepresent your identity, athletic abilities, or academic credentials.
• Use the Service to violate NCAA, NAIA, NJCAA, or any other governing body's recruiting rules.
• Attempt to gain unauthorized access to other users' accounts or data.
• Use the Service for any commercial purpose other than your own recruiting efforts.
• Scrape, crawl, or use automated means to access the Service beyond its intended functionality.
• Upload malicious code, viruses, or any harmful content.

5. Gmail Integration

The Service offers an optional integration with Google Gmail to send and monitor recruiting emails. By connecting your Gmail account:

• You authorize Playmaker AI to send emails on your behalf to coaches you have added to your pipeline.
• You authorize Playmaker AI to read incoming emails to detect coach replies and update your pipeline.
• You understand that emails are sent from your personal Gmail address and you are responsible for their content.
• You can revoke this access at any time from your Settings page or from your Google Account permissions.

Our use of Google user data is governed by our Privacy Policy and complies with the Google API Services User Data Policy, including the Limited Use requirements.

6. Payment, Subscription, and Lifetime Access

Playmaker AI offers a Lifetime Access plan as a one-time purchase. By making a purchase, you agree to pay the listed price at the time of checkout. All payments are processed securely through Stripe.

Definition of "Lifetime Access": As used in these Terms and throughout the Service, "Lifetime Access" means access to the Playmaker AI platform for the duration of the shorter of the following two periods:

• Six (6) years from the date of purchase; or
• Three (3) months after the student-athlete's high school graduation date as recorded in their account profile.

Whichever period expires first shall constitute the end of your Lifetime Access. Upon expiration, your account will be transitioned to an inactive state and you will no longer have access to premium features. You may contact us to request a data export before your access period ends.

Inactivity Policy: If your account shows no login activity for a continuous period of twelve (12) months, your access will be automatically suspended. We will attempt to notify you via the email address on file at least 30 days before suspension. If you do not log in within 30 days of the notification, your account will be closed. You may contact [email protected] to request reactivation within 60 days of closure, subject to review.

All sales are final. Due to the nature of digital services and the immediate access provided upon purchase, we do not offer refunds. If you experience technical issues that prevent you from accessing the Service, please contact us at [email protected] and we will work to resolve the issue.

We reserve the right to change pricing for future purchases. Any price changes will not affect existing Lifetime Access holders.

7. Chargebacks and Payment Disputes

You agree to contact us at [email protected] to resolve any billing concerns before initiating a dispute with your bank or credit card company. We are committed to resolving billing issues promptly and fairly through our support process.

Filing a chargeback or payment dispute with your bank, credit card company, or payment provider without first attempting to resolve the issue directly with us constitutes a breach of these Terms. In the event of a chargeback or payment dispute:

• Your account will be immediately suspended pending resolution of the dispute.
• You acknowledge that you will be liable for the original transaction amount plus any chargeback fees assessed by our payment processor (currently $15 per dispute).
• If the dispute is resolved in our favor, your account may be permanently terminated at our sole discretion.

Payment Authorization: By providing your payment method and completing a purchase, you authorize Playmaker AI to charge your payment method on file for any outstanding fees, costs, or amounts owed under these Terms, including but not limited to chargeback processing fees and any amounts due as a result of a dispute resolved in our favor.

We reserve the right to pursue recovery of all amounts owed through collections, legal action, or other available remedies.

8. Intellectual Property

The Service, including its design, features, code, and content (excluding user-generated content), is owned by Clarkstone Ventures and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

You retain ownership of all content you create within the Service (your athlete profile, emails, notes, etc.). By using the Service, you grant us a limited license to use your content solely for the purpose of providing and improving the Service.

9. AI-Generated Content

Playmaker AI uses artificial intelligence to generate recruiting game plans, email drafts, coach research summaries, and other content. While we strive for accuracy, AI-generated content may contain errors or inaccuracies. You are responsible for reviewing and approving all AI-generated content before it is sent or shared. We are not liable for any consequences resulting from AI-generated content that you choose to use.

10. NCAA and Recruiting Rules Disclaimer

Playmaker AI is a tool to assist with the recruiting process. We do not guarantee compliance with NCAA, NAIA, NJCAA, or any other governing body's recruiting rules and regulations. It is your responsibility to understand and comply with all applicable recruiting rules for your sport and division level. We recommend consulting with your high school counselor or a compliance advisor if you have questions about recruiting rules.

11. Limitation of Liability

To the maximum extent permitted by law, Playmaker AI and Clarkstone Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of recruiting opportunities, loss of data, or loss of revenue, arising from your use of the Service.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Service will be uninterrupted, error-free, or secure at all times.

12. No Guarantee of Recruiting Outcomes

Playmaker AI is a tool designed to assist with the recruiting process. We do not guarantee any specific recruiting outcomes, including but not limited to receiving scholarship offers, being recruited by specific schools, or being admitted to any college or university. Recruiting outcomes depend on many factors beyond our control.

13. Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to other users, the Service, or Clarkstone Ventures. You may also delete your account at any time by contacting us.

In addition to the above, your account may be terminated automatically under the following conditions:

• Expiration of Lifetime Access: Your access period has reached the end of the Lifetime Access term as defined in Section 6 (the shorter of 6 years from purchase or 3 months after high school graduation).
• Inactivity: Your account has had no login activity for 12 consecutive months, as described in Section 6.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
